Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Iman Sdk Inc., operating as Iman Soft, concerning your access to and use of our website www.imansoft.mom and our computer systems design and professional technical services. By accessing or using our services, you agree to be bound by these Terms.

Iman Soft provides computer integrated systems design and related professional, scientific, and technical services. Our services include but are not limited to:

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated in a service agreement:

OUR SERVICES ARE PROVIDED ON AN AS IS and AS AVAILABLE basis. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, Iman Sdk Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Iman Sdk Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, for any reason including violation of these Terms.

Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the rules of the ADR Institute of Canada, conducted in Ontario, Canada.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Iman Sdk Inc. regarding our services and supersede all prior agreements and understandings.
